The Opportunity

The company secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented and keeping a track on accounting related activities

 

About The Role

  • Develop and maintain good working relationships with internal and external stakeholders. 
  • Be self-aware and proactive regarding your own personal and professional development needs.
  • Complete performance management process using the PE@T process including information notes in the Trakstar system.
  • Demonstrate safety leadership in your own behaviour and your interactions with others.
  • Promote, encourage and foster the safely culture within Thiess.
  • Support the development, implementation and effectiveness of the Thiess Safety Essentials.

Additionally, you will:

  • Preparing board and shareholders meetings (AGMs, EGMs) matters arranging meetings, preparing & issuing notice, agenda, circular resolutions, attending all meetings, taking meeting notes and drafting minutes/resolutions/directors report in accordance with corporate legislation, the Memorandum and Articles of Association of the Company, shareholder agreements and any procedures agreed upon by the Board from time to time; and where required filing resolutions with ROC.
  • Provide governance advice to directors about their duties, corporate legislation, the Memorandum and Articles of Association of the Company and shareholder agreement. » Ensuring that board procedures are both followed and regularly reviewed.
  • Preparing forms and documentation for incoming and outgoing office holders, approval of annual accounts, filing of annual returns and all other corporate activities. Ensure forms are lodged within the required timeframes.
  • Preparation and maintenance of various Statutory Books and Registers of the Company under the Companies Act. These should include: a) A register of present and past directors and secretaries b) A register of all shareholders, past and present and their shareholdings c) A register of any charges on the company’s assets d) Minutes of general meetings and board meetings e) A register of the debenture holders (typically banks) f) Filing annual returns.
  • Providing information about company records to the Company Secretary Thiess Pty Ltd and when requested and informing Thess Pty Ltd Company Secretary of any significant changes in the company's structure or management, for example the appointment or resignation of directors.
  • Ensuring that all general and specific notices of interest, as the case may be, are entered in the appropriate Board meeting minutes and filed in the Company’s minute books. When necessary or appropriate, withhold from a Director any documentation relating to a material contract or transaction in which the Director has disclosed an interest.
  • Ensuring that all the company’s business stationery carries its name, registered number, country of registration and registered address. These details must also appear on the company website, emails and order forms.
  • Drafting & vetting of different types of legal documents, agreements, MOUs, POAs, NDA, affidavits, Indemnity Bond, Letter of Authority, legal Agreements banking agreements.
  • Liaising with regulatory authorities including Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), Financial Institutions (FIs), Banks, and so on for compliance management.
  • Filing financial statements in XBRL and various forms, returns & documents with Registrar of Companies (ROC) under MCA-21 in compliance with Companies Act and other related enactments & regulations.
  • Statutory & Internal Auditors for Companies Act compliance related requirements.
  • Authorized Dealers for timely filing of statutory documents with RBI like Form ODI, APR, Annex-6, FC GPR, and Annual Return of Assets & Liabilities; maintaining documentation and liaising related to FEMA in terms of Foreign Direct Investments (FDI) and Overseas Direct Investments (ODI) in JV/WOS of the company.
  • Liasing with Customers & Business Associates on different business matters such as tenders, payment realization & legal disputes.
  • Dealing with Insurance Companies, Broking Houses & Surveyors for full coverage, renewal, claim settlement and negotiations.
  • Coordinating with Internal Auditor, Cost Auditor and Statutory Auditor for timely audit of the company and Balance Sheet Working.
  • Handling notices from Income Tax Department, replying & submission of required documents and data for Scrutiny Assessment.
  • Compliances including Preparation of 15CA & 15CB for Overseas Remittances and online filing of 15CA.
  • Responsible for deduction of TDS, depositing thereof and timely filing of Return, Timely Payment of Service Tax, GST, TDS etc.
  • Maintenance of Fixed Asset Register under the Companies Act.
  • Coordination with Vendor for all payments and information.
  • Purchase requisition and purchase order creation.
  • Book keeping of all vouchers and Invoices.
  • Taken care of timely payment and other Information of vendor.
  • Data entry in JD Edward.
  • Periodic Reporting

 

About You

  • Qualified Member of the Institute of Company Secretaries of India (ICSI), and / or Legal degree would be an additional advantage. Desirable: Commerce Graduate/Postgraduate (B.COM, M.COM),
  • At least 4-5 years of experience as a Company Secretary & Accountant.
    Strong Knowledge of Company Law, Accounts, Taxation, Banking & Audit.
  • Independent and mature personality, self-motivated and results driven; high initiative and good planning skills.
  • Proven analytical, problem-solving and troubleshooting skills.
  • Ability to follow processes and procedures.
  • Fluent in English and the ability to communicate with internal and external stakeholders.
