Vice President, Legal and Business Affairs
JOB SUMMARY:
Manages all legal and business affairs aspects of the operations of Universal Destinations & Experiences domestic new ventures, including Universal Kids Resort and Universal Horror Unleashed. Leads negotiations, drafting and interpreting complex commercial agreements, licenses, letter agreements, service contracts, and other legal documentation, and provides advice and guidance on all legal matters, including ride safety and hotel operations. Manages compliance and regulatory requirements, contractual obligations and dispute resolution. Ensures alignment and compliance with all UDX and NBCU policies and Legal operations, and works closely with UDX Legal on marketing, and other legal matters. Oversees the management and resolution of all litigation matters and manages legal staff as well as outside counsel. This position will be based in Frisco, TX.
JOB RESPONSIBILITIES:
- Manages the negotiating, drafting, and interpreting complex agreements covering a variety of commercial services, procurement, technology, marketing and sales, intellectual property, licensing, leasing, construction, and other legal agreements.
- Reviews and interprets applicable law, statutes, regulations, and pending legislation and any best practices applicable to UKR and UHU operations. Manages compliance and regulatory requirements, ride safety, contractual obligations, litigation, claims management and dispute resolution. Identifies risk and advises senior leadership on complex deal terms, litigation and other matters.
- Participates in the development of training materials surrounding contractual compliance, licensing requirements, regulatory obligations and required internal approvals. Ensures compliance with all UDX and NBCU corporate policies and procedures and alignment with UDX Legal. Ensures wholly owned and operated hotel adheres to all local regulations and contractual agreements.
- Manages the Legal and Claims support staff and outside counsel for Universal Kids Resort theme park and hotel, as well as the Universal Horror Unleashed locations. Identifies and implements efficiencies in contracting procedures, balancing risk tolerance with business initiatives.
- Strategic planning for proposed transactions, management of special projects, and provide general advice and counsel on legal issues to Senior Management.
- Review and interpret laws, regulations, and pending legislation and any best practices applicable to UDX operations. Drafting of policies and procedures and development and presentation of training materials.
- Understand and actively participate in Environmental, Health & Safety responsibilities by following established UDX policy, procedures, training, and team member involvement activities.
- Perform other duties as assigned.
SUPERVISORY RESPONSIBILITY:
- Supervises an Exempt team.

QUALIFICATIONS: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skills, and/or abilities (KSAs) required.
- Ability to effectively partner with Senior Management team in completing deals and resolving issues. Strong business ethics.
- Strong transactional drafting skills; detail oriented.
- Able to work early mornings, nights, and weekends to accommodate major transactions and multiple time zones and adapt to a variety of cultures.
- Excellent communication, negotiating, drafting and analytic skills; must be able to work with numerous and varied clients including Senior Management.
- Ability to handle multiple projects simultaneously in a fast-paced environment.
- Ability to work independently, prioritize and exercise sound business judgment, while maintaining professional attitude.
- Excellent oral and written communications skills.
- Strong business acumen with good judgment.
- Member of a State Bar (Texas or Nevada strongly preferred).
- Must be highly proficient in Microsoft Word, and proficient in Excel and PowerPoint, as well as Internet and web-based training tools.
- Must be willing to travel frequently, domestically and internationally.

EDUCATION:
- Doctor of Jurisprudence (or equivalent).
EXPERIENCE:
- 12+ years of experience in commercial and real estate transactions, negotiating, drafting and interpreting complex business/intellectual property contracts; or equivalent combination of education and experience. Experience with land use, planning, and real estate development preferred.
